PLEASE READ THESE TERMS CAREFULLY. By accessing or using the BixoChat platform, website, dashboard, or any related services, you agree to be legally bound by these Terms & Conditions.

1. Acceptance of the Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and BixoChat ("BixoChat", "we", "us", "our").

By creating an account, accessing the platform, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services.

2. Contracting Party

BixoChat is a company duly registered and operating under the laws of the United Kingdom. BixoChat is the sole contracting party responsible for providing the Services under these Terms.

3. Description of the Services

BixoChat provides a software-as-a-service (SaaS) platform offering Instagram-based automation tools, including but not limited to: automated direct message workflows, keyword-based triggers, comment automation, AI-powered response features, and interactive and form-based messaging flows.

BixoChat acts solely as a technology provider. We do not: initiate conversations on behalf of users, control or approve user content, or guarantee engagement, sales, or business outcomes. All Instagram automation services are provided exclusively via official Meta-approved APIs.

4. Account Registration and Responsibility

You must be at least the legal age required to enter into a binding contract in your jurisdiction. You are responsible for maintaining accurate account information, securing your login credentials, and all activities conducted through your account.

5. User Content

All content created, uploaded, generated, or transmitted through the Services — including messages, automation flows, AI prompts, and campaign data ("User Content") — remains solely your responsibility. BixoChat does not create or control User Content and has no obligation to monitor User Content.

6. Instagram Account Connection and Disconnection

When you connect an Instagram account, BixoChat accesses data strictly within the permissions granted through official Meta authorization. Upon disconnection of your Instagram account: BixoChat immediately stops receiving any data from Instagram; no active access to the Instagram account remains; only previously created automation configurations may be retained. Users may request full deletion of automation flows and related data at any time.

7. Compliance with Laws and Platform Policies

You are solely responsible for complying with: applicable laws and regulations (including GDPR and consumer protection laws), Meta and Instagram platform policies, and consent and data protection requirements. BixoChat is not responsible for account restrictions or suspensions imposed by third-party platforms.

8. AI Features Disclaimer

Certain Services may include artificial intelligence or automated response functionality. You acknowledge that: AI-generated outputs may be inaccurate or incomplete; BixoChat does not guarantee the correctness or legality of AI outputs; all decisions made based on AI outputs are solely your responsibility.

9. Prohibited Uses

You agree not to use the Services to: violate any law or regulation; engage in spam, deceptive, or abusive practices; circumvent Meta or Instagram safeguards or rate limits; impersonate others or misrepresent affiliation; reverse engineer or interfere with system integrity. BixoChat reserves the right to suspend or terminate accounts at its discretion.

10. Fees, Payments, and Refund Policy

Certain features require paid subscriptions. Pricing and billing details are displayed on the platform.

Refund Policy: Refund requests are accepted only within 24 hours of purchase. Refunds are available only if the user has not used the Service or any trial/test period. "Use of the Service" includes, but is not limited to: connecting an Instagram account, creating or executing automation workflows, sending or receiving messages, using AI-powered features. Refund requests must be submitted via the BixoChat support ticket system and will be reviewed within 72 business hours. In some cases, refunds may be issued as account credit at BixoChat's discretion.

11. Chargebacks and Payment Disputes

Users agree to contact BixoChat support and submit a ticket before initiating any chargeback or payment dispute with a bank or payment provider. Initiating a chargeback without following this process constitutes a violation of these Terms and may result in suspension or permanent termination of the account. BixoChat reserves the right to retain and use technical logs and service usage records as evidence in payment disputes.

12. Suspension and Termination

BixoChat may suspend or terminate access to the Services if these Terms are violated. Upon termination: access to the Services will cease; data may be permanently deleted; certain provisions shall survive termination.

13. Intellectual Property

All intellectual property rights related to the Services — including software, interfaces, AI models, branding, and documentation — are owned by BixoChat. No rights are granted except as expressly stated in these Terms.

14. Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE." BixoChat disclaims all warranties, express or implied.

15. Limitation of Liability

To the maximum extent permitted by law, BixoChat's total aggregate liability shall not exceed the amount paid by you during the six (6) months preceding the claim.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of the United Kingdom, unless mandatory consumer protection laws require otherwise.
